2. Eligibility

You must have the legal capacity to enter into a binding agreement under applicable law to purchase products or engage our services.

Where a person accesses or uses our services on behalf of a company, organisation, or other entity, that person represents that they have authority to act on behalf of that entity.

3. Our Services

The exact scope, deliverables, timeline, fees, revisions, and other project requirements may be specified in a quotation, proposal, statement of work, invoice, service agreement, or other written agreement.

Where there is a conflict between these Terms and a specific written project agreement, the specific agreement will apply to the extent of the conflict.

4. Quotes and Project Fees

Unless expressly stated otherwise, quotations are based on the scope described at the time of quotation.

Additional work requested by a client may result in additional fees.

This may include:

  • Changes to the approved scope
  • Additional deliverables
  • Additional production days
  • Significant revisions
  • Additional locations or personnel
  • Third-party costs
  • Rush requests
  • Additional formats or versions
  • Changes arising from delayed or incomplete client materials

Applicable taxes, payment-processing charges, licensing fees, third-party costs, or other charges may be identified separately where applicable.

5. Payment

Payment terms will be communicated in the applicable quotation, invoice, proposal, or project agreement.

Where an upfront payment or deposit is required, production may not commence until the required payment has been received.

Late payments may result in suspension or delay of services.

Big Talk Productions reserves the right to pause delivery of work where outstanding amounts remain unpaid.

6. Project Timelines

We will make reasonable efforts to meet agreed project timelines.

However, timelines may be affected by:

  • Delayed client feedback
  • Delayed approvals
  • Failure to provide required materials
  • Changes in project scope
  • Third-party delays
  • Technical issues
  • Events outside reasonable control

Where a delay is caused by the client or by circumstances outside our reasonable control, the delivery timeline may be adjusted accordingly.

7. Client Responsibilities

Clients are responsible for providing accurate information, materials, approvals, access, and feedback reasonably required for a project.

The client represents that it has the necessary rights and permissions to provide any text, images, logos, footage, music, documents, trademarks, or other materials supplied to Big Talk Productions.

8. Revisions and Approvals

Where a project includes revisions, the applicable number of revision rounds will be stated in the project quotation or agreement.

Once a deliverable has been approved, subsequent changes may be treated as additional work.

Clients are responsible for reviewing final deliverables before approving them for publication, distribution, or commercial use.

9. Intellectual Property

Unless otherwise agreed in writing, each party retains ownership of intellectual property it owned before a project began.

This includes pre-existing:

  • Logos
  • Brand assets
  • Templates
  • Software
  • Methods
  • Concepts
  • Systems
  • Content
  • Tools
  • Proprietary materials

Ownership or licensing of newly created project materials will be determined by the applicable quotation, contract, or written agreement.

Payment for a project does not automatically transfer ownership of every underlying tool, method, template, concept, stock asset, font, software component, or third-party material used in creating the work.

10. Third-Party Materials

Projects may contain third-party materials such as fonts, stock photographs, music, software, plugins, footage, or other licensed resources.

Such materials may remain subject to the terms of their respective owners or licensors.

Where additional licensing is required, the client may be responsible for the associated cost unless otherwise agreed.

11. Digital Products

Digital products may be subject to specific product descriptions, licences, usage restrictions, download limits, or additional terms displayed at the point of purchase.

Unless expressly stated otherwise, purchasing a digital product grants the purchaser a limited right to use the product for its intended purpose.

You must not reproduce, resell, redistribute, sublicense, publicly share, or commercially exploit a digital product in a manner that violates the applicable product licence or intellectual-property rights.

Your use of third-party services may be subject to their own terms and privacy policies.

15. Refunds and Cancellations

Refunds, cancellations, and returns will depend on the nature of the product or service and the applicable agreement.

For digital products, the availability of a refund may be affected where the product has already been delivered, downloaded, accessed, or consumed, subject to applicable consumer-protection law.

For creative projects, cancellation after work has commenced may result in charges for work already completed, committed production resources, third-party costs, and other reasonable non-refundable expenses, subject to the applicable agreement and law.

Nothing in these Terms is intended to remove a consumer right that cannot lawfully be excluded.

16. Consumer Rights

Big Talk Productions is committed to fair and transparent dealings with customers.

We will provide material information about our products and services in a reasonably clear manner and will not intentionally make misleading or deceptive representations.

17. Confidentiality

Where the parties exchange confidential business, creative, technical, financial, or other non-public information, each party should take reasonable steps to protect that information from unauthorised disclosure.

Additional confidentiality obligations may be established through a separate confidentiality agreement or project contract.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Big Talk Productions will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from use of the website or services.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under Nigerian law.

Where a specific project agreement provides a different limitation of liability, that agreement will apply to the relevant project.

19. Force Majeure

We will not be responsible for delays or failure to perform caused by circumstances reasonably beyond our control, including natural disasters, serious technical failures, government actions, civil disturbances, industrial action, public emergencies, infrastructure failures, internet or telecommunications disruptions, or other comparable events.

20. Indemnity

To the extent permitted by law, you agree to be responsible for claims arising from your unlawful use of our website or services, your breach of these Terms, or your provision of materials that infringe another person’s rights.

We may suspend or terminate access to our website or services where reasonably necessary, including where:

  • You materially breach these Terms
  • Payment obligations remain outstanding
  • Fraudulent or unlawful activity is suspected
  • Security is threatened
  • Continued access could harm our systems, business, users, or third parties

Termination does not affect rights or obligations that arose before termination.

22. Privacy

Our collection and use of personal data is governed by our Privacy Policy and Data Policy.

By using our website or services, you acknowledge that personal data may be processed in accordance with those policies and applicable law.

23. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Where a dispute cannot be resolved amicably, the parties may pursue the remedies available under applicable Nigerian law and before a court or other competent forum with appropriate jurisdiction.

24. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be published on our website with a revised “Last Updated” date.

Your continued use of the website or services after an update may constitute acceptance of the revised Terms to the extent permitted by law.
